Contract Terms
1.1 Purpose
The General Terms and Conditions (here in after referred to as GTC) serve as the legal basis for the duration of the contractual relationship between GR Operations KLG and the customer (for simplicity, the female form is not mentioned), who orders a product or service offered by GR Operations KLG. The GTC are subject to Swisslaw.
1.2 Commencement
The contractual relationship is established with the acceptance of the order or the commissioning by GR Operations KLG based on the order placed by the customer.The order can be transmitted depending on the product via email, online form, signed document, or by using the service. The first date of the mentioned events is considered the start of the subscription or contract. GR Operations KLG reserves the right to reject an order without giving reasons.
1.3 Duration
The initial contract term for subscription services is determined by the customer during the order process from the available options (minimum of 3 months). If the customer switches a product to another provider, all services associated with that product will be terminated. Upon moving to another provider, all claims to services from GR Operations KLG expire. Upon termination of subscriptions, all associated support and update services cease.
1.4 Deviations
Deviations or supplementary agreements from the GTC are only valid based on a document confirmed by both parties and do not affect the applicability of the remaining provisions.
Payment Terms
2.1 Payment Terms
The contractually agreed prices apply. The total amount for the term can be paid inadvance or as a monthly payment. In the case of monthly payments, theconditions can be found in the contract. All prices are in Swiss francs excluding VAT.
Rights and Obligations of GR Operations KLG
3.1 Services
GR Operations KLG is responsible for providing the services according to the offerused by the customer, whose product description is as per the offer. GR Operations KLG is free in all aspects of the environment necessary for theseservices, for example, domestic and foreign companies or third parties may be involved. Changes in this regard are at the discretion of GR Operations KLG.
3.2 Copyright
The copyrights and related protective rights to all works created by GR Operations KLG fundamentally blong to GR Operations KLG. GR Operations KLG may dispose of these rights in accordance with federal law provisions.
3.3 Early Termination of Contract If the customer wishes to terminate the contract early despite a valid contract, and cooperation is no longer possible due to a lack of support from the customer, GR Operations KLG may voluntarily agree to early contract termination for compensation. GR Operations KLG may charge either the actual effort or, particularly in the case of fixed prices without detailed hourly billing, demand a flat-rate compensation. The flat-rate compensation of the original order volume is 50% until project start, 75% in the first month from project start, and 100% there after. The project start is considered any execution ofthe order by GR Operations KLG.
Rightsand Obligations of the Customer
4.1 Cooperation
The customer commits to providing assistance and adhering to agreed deadlines sothat GR Operations KLG can deliver the desired services optimally.
4.2 Delays
Delivery dates are generally considered non-binding. The stated dates reflect the respective planning status. If not met, a reasonable grace period must be set for GR Operations KLG. GR Operations KLG accepts no responsibility for any delays, especially if caused by third parties or changes requested by the customer. In relation to consumers, GR Operations KLG is liable under Swiss lawbut not for intangible damages or loss of income. GR Operations KLG is not liable in cases of force majeure.
4.3 Additional Work
Work that does not fall within the scope of GR Operations KLG’s tasks or the service catalog applicable to the respective product may be refused by GR Operations KLG or charged to the customer based on the effort involved.
Confidentiality and Liability Regulations
5.1 Confidentiality and Liability Regulations
GR Operations KLG and the customer commit to confidentiality of all confidential information that becomes known during the execution of the order. In particular, no data such as documents, presentations, training materials, etc., may be disclosed to third parties without written consent from GR Operations KLG. In the event of a breach of this agreement, the customer agrees to pay a contractual penalty of CHF 50,000 to GR Operations KLG. This penalty does not replace further damages and does not exclude GR Operations KLG's right to seek additional damages or other legal measures.
Changes to these GTC
These GTC may be changed if there is a substantive reason for the change. This may include changes in law, adjustments of offers, changes in jurisdiction, or changes in economic conditions.
